ARTICLE I – Name
ARTICLE II – Mission
The Shoreline Chapter builds knowledge and skills in operations management professionals to enhance and validate abilities and accelerate careers. We help our members and their organizations successfully compete and build a stronger global economy.
ARTICLE III -- Purpose

Membership shall be open to all persons interested in the promotion of Supply Chain Management.

ARTICLE I – Name
- This organization shall be known as APICS Shoreline Chapter, Inc. Local chapter of the American Production and Inventory Control Society, (APICS). Henceforth noted as The Shoreline Chapter.
- This organization shall be a non-profit organization and no part of the net earnings shall inure to the benefit of any individual member.
ARTICLE II – Mission
The Shoreline Chapter builds knowledge and skills in operations management professionals to enhance and validate abilities and accelerate careers. We help our members and their organizations successfully compete and build a stronger global economy.
ARTICLE III -- Purpose
- The Shoreline Chapter exists for the betterment of society.
- To provide and support educational opportunities to adults and students, residing in the shoreline area including Manitowoc, Sheboygan, and their surrounding communities.
- To support and otherwise assist the educational offering at Lakeshore Technical College.
- To support and otherwise assist the educational process at Secondary Education Facilities within the shoreline area.
- To foster and maintain high standards in the profession of Supply Chain Management, and to promote recognition of this profession throughout industry.
- To provide the opportunity for the mutual exchange of information in the area of Supply Chain Management.
- To provide educational programs, increase knowledge, and improve employment skills.
- To unite, through membership in the Chapter, persons interested in Supply Chain Management, and to promote good fellowship among members.
ARTICLE IV – Membership
Membership shall be open to all persons interested in the promotion of Supply Chain Management.
SECTION 1. Classes of Membership
- Professional Member: Persons actively engaged in Supply Chain Management and related fields or those who are interested in the promotion of the profession.
- Student Associate: Persons currently enrolled full time in a degree-seeking program in Operations Management or a related field at an accredited college or university.
- Young Professional: Available to young professionals worldwide who graduated within the last two years and were previously an APICS student member.
- Enterprise Professional: This is a comprehensive approach to providing employees with valuable education and networking opportunities to increase their knowledge and productivity while improving enterprise operations and revenue.
- E-Membership: This electronic membership is offered to enterprise, international and young professional members.
- Academic Professional: Academic professional membership is available to individuals worldwide who are employed full-time by one or more accredited academic institutions.
- Retired Member: Offered to individuals no longer employed full time.
SECTION 2. Admission
- Membership of an eligible applicant becomes effective upon approval of APICS.
SECTION 3. Termination of Membership - Membership shall be terminated when a member:
- < >Is 90 days in arrears in payment of his/her dues, or
- Fails to comply with APICS or the Shoreline Chapter By-Laws
- The Board of Directors may suspend or expel any member for cause:
- This shall not be done until after the member has been given an opportunity to explain the offending action.
- A suspended member shall have inactive status until reinstated by the Board of Directors of the Shoreline Chapter.
- The name of the expelled member shall be stricken from the membership roster of the Shoreline Chapter and he/she shall not be considered eligible for membership.
ARTICLE V – Dues and Finance
SECTION 1. Dues and Shoreline Chapter Fees
- APICS Association and Shoreline Chapter dues have been set by APICS (Association).
- Membership dues shall become due and payable each fiscal year in the month in which the member joined.Members will be billed by Association prior to the anniversary date.
SECTION 2. Contracts, Letters of Intent, Payment - All contracts, releases, agreements, letters of intent or commitments made in the name of, or on the behalf of the Shoreline Chapter shall be submitted to the Board of Directors for the appropriate review and approval.
- No contract may be made which will bind the Shoreline Chapter for amounts in excess of the expected funds of the Shoreline Chapter.
- All instruments for payment of monies by the Shoreline Chapter shall be drawn in the name of the Shoreline Chapter.
SECTION 3. Non-Compensation - No voting member of the Board of Directors of the Shoreline Chapter shall receive compensation for services rendered.
SECTION 3. Fiscal Year - The fiscal year of the Shoreline Chapter of APICS shall be from July 1st to June 30th.
ARTICLE VI – Membership Meetings
SECTION 1. Regular Professional Development Meetings - Regular PDMs of the Shoreline Chapter shall be held at a time and place approved by the Board of Directors.Meeting dates and places may be modified at the discretion of the Board of Directors to support general membership commitments or to avoid general membership conflicts in order to provide the most benefit to the general membership.Initial meeting dates will be set at the Annual Transition Meeting.
SECTION 2. Special Meetings - Special meetings may be called by the President(s), by a majority of the Board of Directors, or by written petition of one-fourth of the voting membership.Only such business may be conducted at special meetings as is specified in the meeting call notice.
SECTION 3. Meeting Notices - Notices for all meetings shall be published and sent via newsletter and website to all members not less than one week before the date of the scheduled meeting.
SECTION 4. Membership Voting Representation - The members present at any regular meeting of the Shoreline Chapter shall constitute a voting representation of the Shoreline Chapter.
ARTICLE VII – Board of Directors
SECTION 1. Functions and Duties
- The Board of Directors shall be responsible for the establishment of policy for the Shoreline Chapter. The Board of Directors shall be responsible for the management of the affairs and activities of the Shoreline Chapter.
- All members of the Board of Directors shall be entitled to vote on all matters before the board.The sole exceptions are Members At Large to the Board of Directors who shall not have voting privileges.
SECTION 2. Members - The Board of Directors shall be comprised of up to thirteen members elected from the membership of the Shoreline Chapter including the current Past President who shall serve in a Director at Large capacity.Members will be elected for one year terms and can be re-elected to the same position.
SECTION 3. Authority - The Board of Directors shall be entrusted with the supervision of all matters pertaining to Shoreline Chapter activities and shall manage and conduct affairs in accordance with the By-Laws.
SECTION 4. Board of Directors Meetings - Regular monthly meetings of the board shall be held at such time and place as set at the Annual Transition Meeting.The Board of Directors shall meet not less than six times per year.
- Special meetings of the board may be called by the President or by the request of at least three members of the Board of Directors stating the reason for such a meeting.
- In the event that a physical meeting which meets the quorum requirement (Section 5) cannot be arranged, the Board of Directors may choose to hold an E-Meeting which consists of issues, documents and motions presented to the entire Board of Directors via email and discussions and motions made via email response.
- There will be no change to the way meeting minutes are drafted other than an indication that the meeting was held via Email.
SECTION 5. Quorum

- A quorum of the Board of Directors shall consist of 51% of the current board roster.
SECTION 6. BOD Meeting Notices - Notice of all Board of Directors meetings shall be provided in writing to each board member not less than one week prior to the meeting with the exception of special emergency meetings.
SECTION 7. Removal of Board Members from Office and filling Vacancies - Any member of the Board of Directors, who fails to attend a total of three meetings of the board during the year, where reasonable notice has not been given, may be deemed to have automatically resigned from the Board of Directors.
- If the President is temporarily unable to perform his/her duties, the Executive Vice President will assume these duties.If the Executive Vice President is not available, duties shall fall to the Director at Large.
- All vacancies on the Board of Directors occurring between elections shall be filled by the Board of Directors.
- Two members may co-chair any office.
ARTICLE VIII – Officers
SECTION 1. Officers - The Officers of the Shoreline Chapter shall be the President or Co-Presidents, Executive Vice President, Vice President of Programs, Vice President of Membership, Vice President of Education, Vice President to the Student Chapter, Past President, Secretary, Treasurer, Vice President of Certification, Vice President of C-Bar, Vice President of Marketing, Historian and Vice President of Newsletter.The Web Master may or may not be considered an officer at the discretion of the Board of Directors.
SECTION 2. Election and Term - The President(s) and executive Vice President should not serve more than two consecutive years in office unless there is not another candidate willing to serve.
- The Officers shall be elected from and by the new Board of Directors at the first board meeting after the election of a new Board of Directors.
- The President(s) may appoint a Nominating Committee to be chaired by the Secretary at least 60 days prior to the Annual Membership Meeting.
- The Nominating Committee shall submit the list of nominees 30 days prior to the Annual Membership Meeting.At the Annual Membership Meeting additional nominations may be made by any Individual Member.Thereafter, a ballot vote may be taken and the results immediately announced.
ARTICLE IX – Duties of Officers
Section 1. Duties of Officers - The President(s) shall be the Executive head of the Shoreline Chapter and shall preside at all regular and special meetings and at the meetings of the Board of Directors.He/She will appoint all ad hoc committees and will serve as an ex officio member of such committees.
- The Executive Vice President shall perform all duties of the President in case of the absence of the President or the inability of the President to act.The Executive Vice President will act as Chairman of the Strategic Planning Committee and the Awards Committee.
- The Secretary shall keep an accurate record of the proceedings of all meetings.
- The Treasurer shall be the Financial Officer of the Shoreline Chapter and shall keep, or cause to be kept, complete records of all monies received and disbursed. The Treasurer shall pay all bills for the Shoreline Chapter after such bills have been approved for payment by the Board of Directors.He/She shall monitor the Post Office Box and regularly forward all written correspondence to the appropriate Board of Directors members.He/She should present monthly reports of financial position and arrange for an annual audit.The Treasurer should be prepared to report the financial position of the Shoreline Chapter upon request and prepare budget information for review at the Annual Transition Meeting. The Treasurer is also responsible to submit the income tax form to the IRS by November 15 of each year or as required by State or Federal agencies and maintain the business entity. (Corporation/LLC/Non-profit etc.).
- The Vice President of Programs shall plan for speakers, meeting places and menus.He/She shall also have charge of the audio visual equipment and prizes.
- The Vice President of Membership shall keep complete and accurate records of membership.Further, he/she shall be responsible for contacting members and businesses in search of new members and will follow up on members whose membership has elapsed.
- The Vice President to the Student Chapter will serve as the Board Liaison with the student chapter (Supply Chain and Business Operations Club).He/She will serve as Chairman of the Scholarship Committee.
- The Past President shall perform such duties as directed by the President.
- The Vice President of the Newsletter shall collect appropriate APICS news information including chapter updates and include it in a newsletter. This newsletter will be sent electronically to all members of the Shoreline Chapter and requesting non-members unless USPO delivery is specified.
- The Vice President of Certification shall do all planning and scheduling of certification classes.
- The Vice President of Marketing shall plan ways to distribute APICS information to the local business community.
- The Vice President of C-Bar shall maintain and submit all information necessary for C-Bar and advise the Board of Directors of required items.
- The Historian shall retain copies of agendas, minutes, newsletters and other documents as needed for reference to future Board Members or as support to C-Bar.
- The Webmaster will keep the Shoreline Chapter web site updated.The position does not need to be a voting member of the Board of Directors.
ARTICLE X – Delegates
SECTION 1. Delegates to the National Board of Directors at Regional Meetings - At least one delegate to each Regional Board of Directors Meetings may be selected by the Shoreline Chapter Board of Directors.Chapter funds may cover the expense of the delegates at the discretion of the Board of Directors.
- The delegate will perform the duties of a National Director in accordance with the By-Laws of APICS Association and shall act a liaison between the Shoreline Chapter and APICS Association.
ARTICLE XI – Committees
SECTION 1. Nominating Committee - The Nominating Committee may be appointed not later than 60 days prior to the Annual Business Meeting of the Shoreline Chapter.
- The Nominating Committee shall select one candidate for each office and obtain their acceptance of such nomination.
- The Committee shall advise the Shoreline Chapter membership of the nominees 30 days prior to the Annual Membership Meeting.
SECTION 2. Standing Committees - Membership Committee
- The Membership Committee shall be responsible for recruiting qualified new members and assisting them in preparing their membership applications for submission to APICS Association for approval.
- Program Committee
- The Program Committee shall be responsible for planning programs for all regular meetings and for making the necessary program arrangements and advising the President and VP to the Newsletter of the necessary speaker information.It shall also be responsible for promoting attendance at all regular meetings with the aid of surveys, and making arrangements for necessary facilities, equipment and drawing prizes.
- Education Committee
- The Education Committee shall be responsible for promoting interest in the Supply Chain field on the academic level at secondary and post-secondary institutes, encourage all avenues for direct participation in educational pursuits, and arrange APICS educational offerings sponsored by the Shoreline Chapter.
- Awards Committee
- The Awards Committee shall determine which awards should be presented (Company of the Year, Member of the Year, etc…) and to whom they shall be presented.
- Strategic Planning Committee
- The Strategic Planning Committee shall be responsible for setting the goals and objectives of the Shoreline Chapter and for preparing the 5 year Operations Plan.
SECTION 3. Other Committees
- The Strategic Planning Committee shall be responsible for setting the goals and objectives of the Shoreline Chapter and for preparing the 5 year Operations Plan.
- Other committees may be appointed by the President to accomplish the general purpose, or special projects, of the Shoreline Chapter.These committees shall serve until June 30 following appointment, unless dissolved at an earlier date.
SECTION 4. Committee Meetings - Committee meetings shall be held upon notification by the Chairman of a committee.He/She shall designate the time and place of the meeting.
SECTION 5. Removal from Committees - The Board of Directors shall have power and authority to remove any committee chairman or member with cause.
ARTICLE XII – Parliamentary Authority and Suspension of Rules
SECTION 1. Parliamentary Authority - All meetings of the duly constituted bodies of the Shoreline Chapter shall be governed by the rules of order as prescribed in “Robert’s Rules of Order Revised”, provided the same are not superseded by the By-Laws and are applicable.
SECTION 2. Suspension of By-Laws - The standing rules may temporarily be suspended by a two thirds vote of those present by any meeting of the Board of Directors.
SECTION 3. Interpretation of the By-Laws - The Board of Directors shall be the authority for the interpretation of these By-Laws.
SECTION 4. Non-conflict with the APICS By-Laws - The By-Laws of the Shoreline Chapter shall be in harmony with and not conflict in any manner with the Association By-Laws.The Association By-Laws shall govern and prevail in all matters.
ARTICLE XIII – Dissolution - The Shoreline Chapter shall use its funds only to accomplish the objectives and purposes specified in the By-Laws, and no part of said funds shall be distributed to any members of the Shoreline Chapter.On dissolution of the Shoreline Chapter, any funds remaining shall be distributed to one or more regularly organized or qualified; charitable, educational, scientific or philanthropic organizations to be selected by the Shoreline Board of Directors.
